§ 1. General
These General Terms and Conditions apply to contracts concluded between Geo Sprachen-Service GmbH (hereinafter referred to as “Geo" or "we") and our business partners (hereinafter referred to as the “Customer” or "you"), unless otherwise expressly agreed. We are not bound by the General Terms and Conditions of the Customer.
We are entitled to avail ourselves of the services of external companies in order to fulfil the orders. By placing an order, the Customer releases us from any claims submitted by third parties due to the infringement of the Customer's rights (copyright law).
§ 2. Execution of Orders (in particular Translations) and Provision of Services
For the fast and cost-effective processing of your orders, please inform us at the time you place your order at the latest about any special forms of translation that you may require (specific data format, certifications, number of copies, layout, intended use, etc.). Unless otherwise agreed, we return the texts which are to be translated to you in .docx format by e-mail.
If you do not provide us with a terminology list or special instructions, we translate technical expressions into the standard, lexically acceptable or generally comprehensible form.
Please provide us only with complete texts which are readily legible, free of errors and complete. The Customer shall bear all costs resulting from mistakes in the translation which are due to poorly legible, incorrect or incomplete submitted texts or erroneous or incorrect terminology provided by the Customer.
As we have concluded corresponding agreements with our external co-workers, we can only acknowledge complaints if you submit these to us in writing immediately after the provision of our service (date of the e-mail) and with an accurate specification of the error. We assume that you will have checked the quality of our service within a period of one week (in exceptional cases within 10 days at the latest). Upon the expiry of this period, the Customer shall accept the service provided by Geo as having been performed in accordance with the contract.
Due to the opportunities – which cannot be excluded – for external access to electronic data transmissions between the Customer and Geo, we cannot guarantee the absolute secrecy of the data content. However, we assure you that your data will be kept confidential within our company.
Subsidiary agreements, as well as changes to orders, are accepted subject to our confirmation.
§ 3. Delivery Period, Delay in Delivery, Withdrawal from the Contract, Publication
We agree our delivery periods and delivery dates to the best of our knowledge and belief. However, these should be considered to be non-binding. If the failure to comply with a delivery date is due to force majeure, Geo shall be entitled to withdraw from the contract or request an appropriate period of grace from the Customer.
Whenever the subject of the contract is changed, delivery dates and fees have to be renegotiated.
If the translation is intended for printing/ publication, Geo is to be provided with a proof copy for correction; otherwise we shall assume no liability for consequential loss or damage. Furthermore, we do not assume any liability for the correct input of numerical values and formulas which are not provided in electronic form.
The Customer is obliged to accept any partial deliveries under the agreed terms and conditions.
§ 4. Liability, Compensation
Geo shall only be liable for intent and gross negligence. Geo shall not be liable for any damage to or loss of materials submitted by the Customer. We shall not be liable for any loss or damage caused by a disruption to our EDP (computer) operations. Our EDP systems are checked for viruses at regular intervals. However, we shall not be liable in particular for any loss or damage caused by viruses.
We assume liability up to the amount of twice the order value or a maximum of 10,000 (ten thousand) euros. If the Customer is insured against loss or damage caused by us, the liability limits shall be reduced accordingly.
§ 5. Retention of Title
Until the full payment of all existing claims against the Customer, the delivered goods or services (translation) – including all pending rights – shall remain the property of Geo.
§ 6. Place of Performance and Place of Jurisdiction
The place of performance and statutory place of jurisdiction is Düsseldorf, Germany.
